Subscription and Payment

If you subscribe to our premium services, you agree to pay all fees associated with your subscription plan. You authorize us to charge the payment method you provide for the applicable fees, taxes, and any other charges incurred in connection with your account.

Subscription fees are billed in advance and are non-refundable except as expressly provided in these Terms. You may cancel your subscription at any time, but no refunds will be provided for any unused portion of your subscription period.

Ownership of Content

The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, videos, data compilations, and software, are owned by H2T Finance, our licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal, non-commercial use. This license does not include any resale or commercial use of our Services or any collection and use of any product listings, descriptions, or prices; any derivative use of our Services or their contents; or any use of data mining, robots, or similar data gathering and extraction tools.

Restrictions on Use

You may not:

• Reproduce, distribute, publicly display, publicly perform, or create derivative works of our Services or content
• Modify, reverse engineer, decompile, or disassemble any portion of our Services
• Remove any copyright, trademark, or other proprietary notices from our Services or content

All other names, logos, product and service names, designs, and slogans on our Services are the trademarks of their respective owners.

Copyright Infringement

If you believe that any content on our Services infringes upon your copyright or other intellectual property rights, please submit a notification to us containing the following information:

• Identification of the copyrighted work claimed to have been infringed

Risk Assumption

Indemnification

You agree to defend, indemnify, and hold harmless H2T Finance, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use of our Services
• Your violation of any rights of another person or entity
• Your violation of any applicable laws, rules, or regulations

Informal Resolution

Before filing a claim against H2T Finance, you agree to try to resolve the dispute informally by contacting us at h2tfinance.com@gmail.com. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or H2T Finance may proceed with filing a formal claim.

Agreement to Arbitrate

You and H2T Finance agree to resolve any claims relating to these Terms or our Services through final and binding arbitration, except as set forth below. This agreement to arbitrate is intended to be broadly interpreted. The arbitration will be governed by the Commercial Arbitration Rules of the American Arbitration Association ("AAA"), as modified by these Terms.

The arbitration will be conducted by a single, neutral arbitrator selected in accordance with the AAA rules. The arbitration may be conducted in person, through document submission, or through video conference. The arbitrator will issue a written decision explaining the essential findings and conclusions on which the award is based.

Exceptions to Arbitration

Nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to:

• Bring an individual action in small claims court
• Pursue an enforcement action through the applicable federal, state, or local agency if that action is available
• Seek injunctive relief in a court of law to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights

Class Action Waiver

YOU AND H2T Finance AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and H2T Finance agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Governing Law

These Terms and any dispute arising out of or related to these Terms or our Services will be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any choice or conflict of law provision or rule.

Venue

For any dispute not subject to arbitration, you and H2T Finance agree to submit to the personal and exclusive jurisdiction of and venue in the courts located in London, United Kingdom. You further agree to accept service of process by mail, and hereby waive any and all jurisdictional and venue defenses otherwise available.

Termination by You

You may terminate your account and discontinue using our Services at any time by:

• Following the cancellation procedures in your account settings
• Contacting our customer support team at h2tfinance.com@gmail.com
• Ceasing all use of our Services and deleting any applications or software related to our Services

If you terminate a paid subscription before the end of your current paid term, your termination will take effect at the end of your current billing period, and you will not receive a refund for any fees already paid.

Termination by H2T Finance

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including but not limited to:

We also reserve the right to terminate or suspend any or all of our Services, or your access to our Services, with or without notice, for any reason, including without limitation, if we believe in our sole discretion that you have violated these Terms.

Effects of Termination

Upon termination of your account:

• Your right to access and use our Services will immediately cease
• We may delete or archive your User Content and account information
• Any subscriptions or recurring payments will be canceled
• You will remain liable for all amounts due up to and including the date of termination
• You will not be entitled to any refunds for any unused portion of a subscription or prepaid fees

Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and H2T Finance concerning your use of our Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and H2T Finance regarding our Services.

Waiver

The failure of H2T Finance to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of H2T Finance.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If such modification is not possible, the relevant provision shall be severed from these Terms. Any such modification or severance will not affect the validity and enforceability of the remaining provisions of these Terms.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without H2T Finance's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. H2T Finance may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

Notices

Any notices or other communications provided by H2T Finance under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; (ii) by posting to our website; or (iii) by posting to our Services. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

Force Majeure

H2T Finance will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, labor disputes, internet service provider failures or delays, or the unavailability of communications or computer facilities.

Relationship of the Parties

Nothing in these Terms is intended to or will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and H2T Finance. Neither party has the authority to make any representations, warranties, or commitments on behalf of the other party.
